Terms of use
These terms apply when you use the LoadStax website at loadstax.com (the website) and the LoadStax Pallet Builder at app.loadstax.com (the portal). Together we call them the service. “LoadStax”, “we”, “us” and “our” mean the business that runs LoadStax. “You” means the person using the service and, if you use it for a business, that business.
By creating an account, ticking the box to agree to these terms, or using the service, you agree to these terms and to our Privacy policy. If you don't agree, please don't use the service.
1. Who can use LoadStax
LoadStax is a business tool. You must be at least 18 and able to enter into a binding contract. If you sign up on behalf of a business, you confirm that you're authorised to accept these terms for it.
2. Your account
- Give us accurate details when you sign up, including your business name and email address, and keep them up to date.
- Keep your password secret. You're responsible for everything done under your account, including by anyone you give access to.
- Tell us straight away through our contact form if you think someone has used your account without permission.
- One account is for one business. Don't share logins between businesses or resell access to the service.
3. Alpha service
LoadStax is in alpha. Features may change, be added or be removed, and the service may sometimes be unavailable or contain errors. We'll try to give you notice of significant changes, but we don't promise that the service will be uninterrupted or error-free. Keep your own copies of anything you can't afford to lose, for example by exporting your pack sheets and PDFs.
4. Pallet plans and calculations are estimates
LoadStax helps you plan pallet builds and estimate pallet counts, heights, weights, empty space and chargeable weight. Those results depend on the details you enter and on the settings and carrier presets you choose. They are planning aids, not guarantees.
- You're responsible for checking them. Before you build, ship or quote, check that every pallet is safe, stable, within weight and height limits, and meets the requirements of your carrier, warehouse, customer and any law that applies to you (including workplace health and safety and load restraint rules).
- Freight charges are set by your carrier. Chargeable weight and cost figures in LoadStax are estimates. Your carrier's own measurements, rates and terms decide what you pay.
- Follow your own handling and safety procedures. LoadStax doesn't inspect goods, packaging or pallets.
5. Acceptable use
You must not:
- use the service for anything unlawful, or to store or share content you don't have the right to use;
- try to get into accounts, data or systems that aren't yours, or probe, scan or test the service's security;
- disrupt or overload the service, or use bots, scrapers or other automated means to access it beyond normal use of its features;
- copy, reverse engineer or decompile the service, or use it to build a competing product;
- upload viruses or other harmful code;
- remove or hide any LoadStax notices or branding, except where the service lets you replace them with your own.
6. Your data
Your pallets, cartons, SKUs, carrier settings, builds, history, business name and anything else you put into the portal (your data) stay yours. You give us permission to host, copy, process and display your data only as needed to run, support, secure and improve the service for you, and as described in our Privacy policy.
You're responsible for your data: that it's accurate, that you have the right to use it, and that you're allowed to share it with us. If you give a client or anyone else access to your builds, you're responsible for who you share with and for what they see.
We may use anonymous, aggregated information about how the service is used (for example, how many builds are created) to run and improve LoadStax. It won't identify you, your business or your customers.
7. Our service and intellectual property
We own the service, including the software, packing logic, design, text, logos and the LoadStax name. Subject to these terms, we give you a limited, non-exclusive, non-transferable right to use the service for your own business while your account is active. Pack sheets and PDFs you create in the portal are yours to use in your business.
If you send us feedback or suggestions, we can use them without owing you anything.
8. Fees
The portal is currently provided free of charge during alpha. Before we start charging, we'll publish our plans and prices and tell you in advance. Paid plans will only apply to you if you choose one. Any additional billing terms, such as billing periods, renewals, cancellations and refunds, will be shown before you subscribe. Prices will be in Australian dollars and include GST unless stated otherwise.
9. Third-party services
The service relies on third-party providers, for example for hosting, databases, sign-in and email. We choose them carefully, but we aren't responsible for outages or failures that are outside our reasonable control. Links to other websites are for convenience only. We don't control those sites and aren't responsible for them.
10. Suspension and closing your account
You can stop using the service at any time and ask us to close your account through our contact form. After closing, we'll delete your data within a reasonable time, unless we must keep some of it by law (see our Privacy policy). Export anything you want to keep before you close your account.
We may suspend or close your account if you seriously or repeatedly break these terms, if we must do so by law, or to protect the service or other users. Where it's reasonable, we'll warn you first and give you a chance to fix the problem and export your data. We may also stop offering the service altogether. If we do, we'll give you reasonable notice so you can export your data.
11. Australian Consumer Law
Nothing in these terms excludes, restricts or changes any right or remedy you have under the Australian Consumer Law or any other law that can't be excluded. Where our liability for failing to meet a consumer guarantee can lawfully be limited, it's limited to supplying the services again or paying the cost of having them supplied again.
12. Disclaimers and limits on liability
To the extent the law allows, and subject to section 11:
- the service is provided “as is” and “as available”, and we make no other promises about it, including that it is fit for a particular purpose or that its results are accurate or complete;
- we aren't liable for any indirect or consequential loss, or for lost profits, revenue, business, goodwill or data, damaged or delayed goods, freight costs, carrier charges or penalties, even if we knew they were possible;
- our total liability to you for all claims connected with the service is limited to the greater of the fees you paid us in the 12 months before the claim arose and AUD $100.
These limits don't apply to liability that can't be limited by law, such as liability for fraud or for death or personal injury caused by our negligence.
13. Indemnity
You agree to cover us for any loss, cost or claim brought by a third party because of your data, your breach of these terms or your misuse of the service, except to the extent we caused it.
14. Changes to these terms
We may update these terms as LoadStax develops. We'll change the date at the top of this page, and for significant changes we'll tell you by email or in the portal before they take effect. If you keep using the service after the changes take effect, the new terms apply. If you don't agree with them, you can close your account.
15. General
- Governing law. These terms are governed by the laws in force in Australia and in the State or Territory where LoadStax is based. You and we submit to the courts of that place.
- Disputes. If you have a problem, please contact us first so we can try to sort it out informally.
- Things outside our control. We aren't responsible for delays or failures caused by events beyond our reasonable control.
- Transfer. You can't transfer your account or these terms without our written permission. We may transfer them as part of a sale or restructure of the business, and if we do, we'll tell you.
- Whole agreement. These terms and our Privacy policy are the whole agreement between you and us about the service. If any part is found to be unenforceable, the rest still applies. If we don't enforce a term straight away, we haven't given up the right to enforce it later.
